4. Account Registration

To access certain features of our Website, including online ordering, you may be required to register for an account. When registering, you agree to provide accurate and complete information and to promptly update such information if it changes. You are solely responsible for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account or any other security breach.

We reserve the right to suspend or terminate your account at any time and for any reason, including if we believe that you have violated these Terms. You may delete your account at any time by contacting us at the email address provided below.

5. Ordering, Payment, and Pricing

5.1 Order Placement

When you place an order through our Website or in person, you are making an offer to purchase the selected items subject to these Terms. We reserve the right to accept or reject any order at our sole discretion. An order is confirmed only upon our issuance of an order confirmation. We may decline to process an order for any reason, including but not limited to product unavailability, suspected fraud, or errors in pricing or product information.

5.2 Pricing and Taxes

All prices displayed on our Website and in-store are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, delivery fees, service charges, or gratuities unless specifically stated. You are responsible for paying all applicable federal, state, and local taxes associated with your purchase. In the event of a pricing error on our Website, we reserve the right to cancel the affected order and notify you of the error.

5.3 Payment Methods

We accept various forms of payment as indicated on our Website at the time of checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order, including taxes and fees. Payment is due at the time of order placement unless otherwise specified.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has begun. However, if you receive an incorrect order, a significantly deficient product, or experience a service failure directly attributable to us, please contact us promptly at [email protected]. We will review your concern and, at our sole discretion, may offer a replacement, store credit, or partial refund. Cancellations may be accepted only if requested before preparation of your order has commenced.

5.5 Delivery

Delivery availability, timing, and fees are subject to your location and the operating conditions at the time of order. Estimated delivery times are provided as a courtesy and are not guaranteed. We are not responsible for delays caused by factors outside our reasonable control, including but not limited to traffic, weather conditions, or third-party delivery service failures. Risk of loss and title for food items pass to you upon delivery or pickup, as applicable.

6. Intellectual Property Rights

All content, materials, and features available on our Website and associated with our brand — including but not limited to text, graphics, logos, images, icons, photographs, audio clips, digital downloads, data compilations, software, design elements, menu layouts, and the overall "look and feel" of the Website — are the exclusive property of Seasons Pizza or its content suppliers and are protected by United States copyright, trademark, trade dress, and other applicable intellectual property laws.

The Seasons Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Seasons Pizza. You may not use any of these marks without our prior written permission. All other trademarks not owned by Seasons Pizza that appear on our Website are the property of their respective owners.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Website for your personal, non-commercial purposes in accordance with these Terms. This license does not include:

  • Any resale or commercial use of our Website or its contents;
  • Any collection and use of product listings, descriptions, or prices;
  • Any derivative use of our Website or its contents;
  • Any downloading, copying, or use of account information for the benefit of any third party;
  • Any use of data mining, robots, or similar data gathering or extraction tools.

Any unauthorized use of our intellectual property terminates the license granted herein and may constitute a violation of applicable copyright, trademark, and other intellectual property laws, and may subject you to civil and/or criminal liability.

7. User-Generated Content

If you submit, post, or otherwise provide reviews, comments, feedback, photos, or other content ("User Content") through our Website or associated social media channels, you grant Seasons Pizza a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with our business and marketing activities. You represent and warrant that you own or control all rights to the User Content you submit, and that such content does not violate any third-party rights or applicable law. We reserve the right to remove any User Content at our sole discretion without notice.

8. Disclaimers and "As-Is" Basis

To the fullest extent permitted by applicable law, Seasons Pizza expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied Warranties: All implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Accuracy: Any warranty that the Website will be error-free, accurate, reliable, or that defects will be corrected;
  • Availability: Any warranty that the Website or Services will be continuously available, uninterrupted, or free from technical difficulties;
  • Security: Any warranty that the Website or servers are free of viruses or other harmful components;
  • Third-Party Content: Any warranty regarding the accuracy or reliability of any third-party content, links, or services accessible through our Website.

We do not warrant that the results obtained from using our Services will be accurate, reliable, or meet your expectations. Menu items, ingredients, allergen information, and nutritional data are provided for general informational purposes only and may change without notice. It is your responsibility to inform us of any food allergies, dietary restrictions, or medical conditions before placing an order. While we strive to accommodate requests, we cannot guarantee the complete absence of allergens in any food product prepared in our kitchen.

Certain jurisdictions do not allow the exclusion of implied warranties; therefore, some of the above exclusions may not apply to you. In such cases, our warranties shall be limited to the minimum scope and duration permitted by applicable law.

9. Limitation of Liability

This limitation of liability applies to all claims, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory. Specifically, Seasons Pizza shall not be liable for:

  • Loss of profits, revenue, data, business opportunities, or goodwill;
  • Costs of procurement of substitute goods or services;
  • Personal injury or property damage arising from your use of our Services, except where such injury is caused by our gross negligence or willful misconduct;
  • Any unauthorized access to or alteration of your transmissions or data;
  • Delays or failures in delivery caused by factors outside our reasonable control;
  • Any damages resulting from the conduct of third-party delivery services, payment processors, or other third-party vendors.

In jurisdictions where limitations on liability for personal injury or incidental or consequential damages are not permitted, our liability shall be limited to the maximum extent permitted by law. In all cases, our total cumulative liability to you for any and all claims arising out of or related to these Terms or our Services shall not exceed the total amount paid by you to Seasons Pizza in the ninety (90) days immediately preceding the event giving rise to the claim.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Seasons Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and successors (collectively, the "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of, or inability to use, our Website or Services;
  • Your violation of these Terms or any applicable law, regulation, or ordinance;
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;
  • Any User Content you submit, post, or transmit through our Website;
  • Any inaccurate, misleading, or fraudulent information you provide to us;
  • Your negligence or willful misconduct.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any claim, action, or proceeding subject to this indemnification obligation upon becoming aware of it.

11. Third-Party Links and Services

Our Website may contain links to third-party websites, applications, or services that are not owned or controlled by Seasons Pizza. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or terms of any third-party websites or services. We do not endorse or make any representations about third-party websites or services. Your use of third-party websites is governed by the respective terms and policies of those third parties. We strongly encourage you to review the terms and privacy policies of any third-party websites you visit.

If we utilize third-party delivery platforms (such as DoorDash, Uber Eats, Grubhub, or similar services), please note that your use of those platforms is subject to their respective terms and conditions. Seasons Pizza is not responsible for the acts or omissions of third-party delivery services.

12. Food Allergy and Safety Notice

Our kitchen prepares food that contains or may come into contact with common allergens, including but not limited to wheat/gluten, dairy, eggs, nuts (including tree nuts and peanuts), soy, fish, and shellfish. While we make reasonable efforts to accommodate special dietary requests, we cannot guarantee that any menu item is free from a particular allergen due to the possibility of cross-contamination during food preparation. Customers with known food allergies or dietary restrictions should exercise caution and are encouraged to contact us directly at [email protected] before placing an order to discuss their specific needs. By ordering from Seasons Pizza, you acknowledge and accept this risk.

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the applicable state law of the state in which Seasons Pizza is incorporated and/or primarily operates, without regard to its conflict of law principles. By using our Services, you consent to the personal jurisdiction of the state and federal courts located in the applicable state and agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in such courts.

These Terms shall also be subject to applicable federal laws and regulations, including but not limited to:

  • The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts or practices in commerce;
  • The Computer Fraud and Abuse Act (18 U.S.C. § 1030) governing unauthorized access to computer systems;
  • The Electronic Communications Privacy Act (18 U.S.C. §§ 2510–2523);
  • Applicable state consumer protection statutes and regulations;
  • The California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA), where applicable to California residents.

If you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA/CPRA), as outlined in our Privacy Policy.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, our Services, or any transaction between you and Seasons Pizza, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will use reasonable good-faith efforts to resolve the dispute within thirty (30) days of receiving your notice. This informal resolution process is a prerequisite to commencing any formal dispute resolution proceedings.

14.2 Binding Arbitration

If the dispute cannot be resolved informally within the thirty (30) day period, both parties agree to resolve any unresolved dispute through binding individual arbitration, rather than in court. The arbitration shall be conducted by a mutually agreed-upon arbitration service, or if none can be agreed upon, by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the state in which Seasons Pizza primarily operates, unless otherwise required by applicable law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

Notwithstanding the foregoing arbitration agreement, either party may seek emergency or preliminary injunctive relief in a court of competent jurisdiction to prevent irreparable harm while arbitration proceedings are pending. Additionally, claims that fall within the jurisdiction of small claims court may be brought in that court.

15. Term and Termination

These Terms of Service are effective as of the date first posted and shall remain in effect until terminated by either party. Seasons Pizza reserves the right, in its sole discretion, to terminate or suspend your access to our Website and Services, in whole or in part, at any time and for any reason, with or without notice, including but not limited to if we reasonably believe that:

  • You have violated any provision of these Terms;
  • Your use of the Services creates legal liability for Seasons Pizza;
  • You have engaged in fraudulent, abusive, or illegal activity;
  • Continuation of the Service is no longer commercially viable.

Upon termination of these Terms or your access to our Services, all rights and licenses granted to you will immediately cease, and you must stop all use of our Website and Services. Termination shall not limit any of Seasons Pizza's rights or remedies at law or in equity. The following sections shall survive any termination of these Terms: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and all other provisions that by their nature should survive termination.

You may stop using our Services at any time. If you have an account with us, you may request deletion of your account by contacting us at [email protected].

16. Changes to Terms

Seasons Pizza reserves the right to modify, amend, update, or replace these Terms of Service at any time at our sole discretion. Any changes will be effective immediately upon posting the revised Terms on our Website, with an updated "Last Updated" date. We will make reasonable efforts to notify you of material changes through one or more of the following methods: posting a notice on our Website, sending an email to the address associated with your account, or by other reasonable means.

Your continued use of our Website or Services after the posting of any changes constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, you must stop using our Website and Services immediately. We encourage you to review these Terms periodically to stay informed of any updates.

For significant changes that materially affect your rights or obligations, we will provide at least thirty (30) days' notice before such changes become effective, where practicable.

17. Severability

If any provision of these Terms of Service is found to be unlawful, void, invalid, or unenforceable for any reason by a court of competent jurisdiction or arbitrator, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely matches the intent of the original provision to the fullest extent possible under applicable law.

The failure of Seasons Pizza to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term or condition in any particular instance shall not be construed as a waiver of the same term or condition in any other instance or of any other term or condition. Any waiver must be made in writing and signed by an authorized representative of Seasons Pizza to be effective.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements posted by Seasons Pizza on the Website, constitute the entire agreement between you and Seasons Pizza with respect to your use of our Website and Services, and supersede all prior and contemporaneous communications, understandings, negotiations, and agreements, whether oral or written, between the parties regarding such subject matter. No oral or written information or advice given by Seasons Pizza or any of its representatives shall create a warranty or otherwise alter the terms of this Agreement.

These Terms do not create any partnership, joint venture, agency, franchise, or employment relationship between you and Seasons Pizza. You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. Seasons Pizza may freely assign its rights and obligations under these Terms without restriction.

19. Force Majeure

Seasons Pizza shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or regulations, power outages, internet service disruptions, labor disputes, civil unrest, or any other event beyond our reasonable control (collectively, "Force Majeure Events"). In the event of a Force Majeure Event, we will use commercially reasonable efforts to resume normal operations as soon as practicable and will notify customers of any significant service disruptions through our Website or other available communication channels.

20. Notices

All notices, requests, demands, and other communications under these Terms shall be in writing and shall be deemed to have been duly given when:

  • Sent by email to [email protected] and acknowledged by a return email;
  • Posted on our Website in a conspicuous location; or
  • Delivered by hand, certified mail, or recognized overnight courier to our address on file.

We may send notices and communications to you via email, SMS (if you have opted in), or by posting on our Website. It is your responsibility to ensure that your contact information associated with your account is accurate and up to date.

21. Accessibility

Seasons Pizza is committed to ensuring that our Website is accessible to individuals with disabilities in compliance with the Americans with Disabilities Act (ADA) and applicable federal and state accessibility standards. If you experience any difficulty accessing our Website or Services due to a disability, please contact us at [email protected] so that we may assist you and make reasonable accommodations.

22. Children's Privacy

Our Services are not directed to children under the age of 13. We do not knowingly collect personal information from children under 13 years of age. If you are a parent or guardian and believe that your child has provided us with personal information without your consent, please contact us immediately at [email protected], and we will take prompt steps to delete such information from our records. Use of our Website by children under 13 is prohibited without verifiable parental consent in accordance with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501 et seq.

23. California Residents — Additional Rights

If you are a resident of the State of California, you have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA). These rights include:
